For example, we provide legal advice on and -assistance with legal due diligence, local and cross-border mergers, demergers, conversions and acquisitions, incorporations and corporate restructurings, and the dissolution of legal entities. We assist with the drafting of e.g. tailor-made texts for articles of association, partnership agreements, shareholders agreements, corporate resolutions and the dissolution of legal entities. Our experience also includes advice on corporate governance matters, the acting as board room advisers and minuting meetings of shareholders and of boards of directors and assisting companies with structuring their corporate documentation.

Financial regulatory compliance legislation in the Dutch Caribbean has expanded considerably, and remains subject to frequent changes, including on legislation regarding e.g. Anti-Money Laundering and Anti-Terrorism Financing, Data Privacy and Competition. Our firm can provide advice on compliance with external local rules that apply on an organization, and on compliance with an organizations’ internal systems of control to achieve compliance with such external rules. We can e.g. assist with the setting up of risk management manuals and with the drafting of templates and procedures for the due diligence process (we have a CAMS certification).

Our attorneys have also provided legal advice on corporate group structures involving real estate owners and/or lessors.

Certain legal actions in the Dutch Caribbean in the area of trusts and estates are reserved for civil law notaries. Apart from those actions, our firm can assist with the Dutch Caribbean civil law aspects of gift- and estate planning. This may include legal advice on the creation of trusts and the formation of partnerships, private foundations and limited liability companies, and legal advice on and assistance with the drafting of living wills and power of attorney documents.

The general civil law practice encompasses the broad areas of corporate-, contractual-, employment-, insolvency-, and property law matters, including contract drafting and assistance in case of disputes arising from contracts or unlawful acts.
